NibFlow Terms of Service & Privacy Notice

Your work remains yours.
You or the lawful rights holder retain ownership of manuscripts and materials created, imported, or edited in NibFlow. NibFlow does not claim rights in your work, sell your creative content, or use manuscripts, prompts, or AI outputs to train NibFlow or third-party models.
Local first
Manuscripts stay on your device by default. Necessary content is sent only when you actively use an online feature.
No model training
NibFlow does not use your creative content, prompts, or AI outputs for model training or fine-tuning.
Data minimization
We process only what is necessary for sign-in, AI requests, metering, payments, security, and support.
Clear boundaries
Model, identity, and payment providers apply their own terms, and we aim to make each data path clear.
1. Scope and Service Provider
1.1 These terms apply to NibFlow websites, desktop applications, and related account, AI, subscription, payment, download, and support services (the “Services”). By creating an account, purchasing a subscription, or continuing to use the Services, you agree to these terms.
1.2 This website and its services are operated and owned by Yu Se Tech. Yu Se Tech is the service provider for the international edition of NibFlow.
1.3 If you use the Services for an organization, you confirm that you are authorized to accept these terms on its behalf.
2. Purpose of the Services
2.1 NibFlow is a local-first writing environment for long-form and structured narratives, including novels, nonfiction, short drama, and screenplays. Features may include project organization, editing, context management, Discuss / Act / Write collaboration, model access, import/export, and subscription metering.
2.2 AI features support ideation, research, rewriting, and editing. They do not replace independent judgment and are not legal, medical, financial, publishing, or other professional advice.
2.3 Some features may be experimental, in preview, or under active development. Current functionality, platforms, models, quotas, and limits are those shown in the product.
3. Accounts and Eligibility
3.1 Provide accurate and necessary account information and protect your device and credentials. You are responsible, to the extent permitted by law, for losses caused by voluntarily sharing credentials or failing to take reasonable security measures.
3.2 Users under the age of majority must use the Services with a parent or guardian’s approval. Additional verifiable consent may be required for children’s personal data.
3.3 Contact us promptly about unauthorized access, security issues, or unexpected charges. We may verify identity or temporarily restrict access to protect the account and Services.
4. Your Content and Intellectual Property
4.1 You or the lawful rights holder retain all rights in text, settings, materials, files, and other content you create, import, edit, or submit (“User Content”). NibFlow does not acquire ownership merely by providing the Services.
4.2 You grant us a limited, non-exclusive license to process User Content only as needed to perform an operation you request—such as conversion, export, AI processing, support, or security—and to comply with law. This license lasts only as long as necessary for that purpose.
4.3 NibFlow does not claim ownership of AI output. Whether an output is protected, exclusive, or similar to existing material depends on applicable law and the creative process. Review outputs before publishing or commercial use.
4.4 NibFlow software, interfaces, trademarks, documentation, and service technology belong to us or their licensors. Open-source components remain subject to their respective licenses.
5. AI Features and Model Providers
5.1 AI output is probabilistic and may be inaccurate, incomplete, biased, inappropriate, or similar to third-party material. You decide whether to adopt, edit, publish, or rely on it and remain responsible for the final work.
5.2 BYOK and third-party models are governed by your arrangement with the provider. NibFlow Subscription requests may pass through NibFlow service interfaces to a connected model provider for processing, metering, security, and troubleshooting.
5.3 Do not submit personal data, trade secrets, classified information, confidential unpublished material, or other highly sensitive content unless you have authority and have applied appropriate safeguards.
5.4 If output carries legally required AI-generated content labels, you must not maliciously remove, alter, forge, or conceal them and must follow applicable disclosure rules when distributing the content.
6. Data and Privacy
6.1 Data we process
• Local manuscripts: stored on your device by default and controlled by you.
• Account data: account ID, email, display name, avatar, and authentication status.
• Service and subscription data: plan, quota, selected model, request time, usage, status, and necessary error details.
• AI request data: when you invoke AI, the prompt, selected context, and output necessary to complete the request are transmitted to the relevant processor.
• Transaction data: order, plan, amount, currency, payment status, and required accounting records. Full payment credentials are ordinarily handled by the payment provider.
• Support and diagnostics: device, version, system, logs, and attachments only when you request support, submit an issue, or enable the relevant diagnostic feature.
6.2 Why we process it
We process necessary data to provide and maintain the Services, complete AI requests, authenticate accounts, meter quota, manage subscriptions and payments, prevent abuse, secure the Services, troubleshoot issues, comply with law, and perform de-identified capacity and quality analysis.
We do not use User Content, prompts, context, or AI outputs to train or fine-tune models or build a content database for other users, and we do not sell User Content or personal data.
6.3 Providers and data transfers
For the international edition, account authentication may be provided by Clerk and payments may be processed by Paddle and its partners. AI requests may be processed by the model provider you select or a provider connected through NibFlow Subscription.
Providers receive data only as needed for their function and apply their own privacy, service, and retention terms. Review the rules of any provider you choose or configure.
Where personal data must be transferred internationally, we will follow applicable notice, consent, contractual, and transfer requirements.
6.4 Retention and your rights
You control retention of local manuscripts. Account, service, and support records are kept only as long as reasonably necessary. Transaction, tax, security, and dispute records may be retained as required by law.
Subject to applicable law, you may request access, copies, correction, deletion, consent withdrawal, account closure, or an explanation of processing. Withdrawal does not affect processing already lawfully completed.
After account closure or a valid deletion request, data will be deleted or anonymized within the legally permitted period, except where retention is required by law or necessary to resolve a dispute.
6.5 Security
We use risk-appropriate access controls, transmission safeguards, separation of permissions, and security management. No internet or software system is absolutely secure. If an incident may affect your rights, we will take remedial action and provide notices or reports as required by law.
7. Acceptable Use
7.1 You must have the right to process submitted content and comply with intellectual property, privacy, confidentiality, cybersecurity, publishing, and generative-AI laws.
7.2 Do not use the Services for unlawful or harmful content, infringement, privacy violations, fraud, harassment, discrimination, malicious marketing, cyberattacks, bypassing safeguards, automated abuse, or interference with the Services.
7.3 We may warn, restrict, suspend, preserve necessary records, terminate, or report unlawful or high-risk use in proportion to its severity and will provide an appeal channel where required.
8. Subscriptions, Quotas, and Payments
8.1 Free editor features and paid AI features are described in the product and pricing page. AI usage varies with model, input/output length, context, tool calls, and service cost and is metered under the displayed rules.
8.2 Price, currency, term, taxes, renewal status, and key benefits are shown before purchase. Payment providers process the transaction; we receive the status needed to fulfil and support the order.
8.3 If a plan renews automatically, we will provide legally required notice before enrollment and renewal and a practical cancellation method. Cancellation normally takes effect at the end of the paid term.
8.4 Refund requests must be submitted to contact@nibflow.ink within 14 days of purchase. If none of the AI credits included with the purchase have been used, we will issue a full refund; if some credits have been used, we will refund the unused portion on a pro-rata basis. Refunds are processed by Paddle, our Merchant of Record. This clause does not limit mandatory consumer rights under applicable law. 8.5 Upgrade, downgrade, term change, and proration rules are those shown at the time of the action. Nothing here removes your right to cancel future renewal or exercise mandatory consumer rights.
9. Changes, Availability, and Termination
9.1 We may adjust features, models, quotas, or supported platforms for security, compliance, supplier, technical, or business reasons. Material adverse changes to paid benefits will receive reasonable advance notice and an appropriate remedy where required.
9.2 Maintenance, network failure, third-party outages, force majeure, or security incidents may interrupt the Services. We will take reasonable steps to reduce disruption but cannot promise uninterrupted or error-free operation.
9.3 You may stop using the Services, cancel renewal, or request account closure. Terms concerning accrued payments, IP, confidentiality, liability, and disputes survive termination where appropriate.
10. Disclaimers and Liability
10.1 To the extent permitted by law, the Services and AI outputs are provided as available. We do not warrant that output is always accurate, original, fit for a particular purpose, or suitable for publication or professional use.
10.2 We will reasonably assist with issues involving third-party model, identity, payment, or network services, while each provider remains responsible under its terms and applicable law.
10.3 Keep independent backups of important manuscripts. We are not responsible beyond applicable law for local file loss caused by device failure, user error, malware, or events outside our reasonable control.
10.4 To the extent permitted by law, we are responsible for foreseeable direct loss. Except for fraud, gross negligence, personal injury, privacy violations, or liability that cannot legally be limited, aggregate liability is capped at the fees paid to NibFlow in the twelve months before the event giving rise to the claim.
11. Updates to These Terms
11.1 We may update these terms as law, product features, or data practices change. Material changes affecting important rights, paid benefits, or personal-data processing will be announced before taking effect through the website, application, email, or another reasonable channel.
11.2 Updated terms do not automatically rewrite completed transactions. If you disagree with a material change, you may stop using the affected Services and cancel future renewal before it takes effect, subject to mandatory law.
12. Governing Law and Disputes
12.1 The China edition is governed by the laws of the People’s Republic of China. The international edition may also be subject to mandatory laws of the provider’s and user’s jurisdictions.
12.2 The parties should first attempt good-faith resolution through support. If unresolved, either party may bring a claim before a court with lawful jurisdiction, and consumers may use available regulatory or consumer complaint channels.
12.3 If a provision is invalid or unenforceable, the remaining provisions remain effective and the affected provision will be interpreted as closely as legally possible to its intended effect.
